Terms of Service
The agreement for using SimpliServe: what the service does, what you pay, and where the responsibility for an AI agent that talks to your customers actually sits: with you, informed by the tools we give you.

1. The agreement
These terms cover your use of the SimpliServe service, the website simpliserveai.com, and anything we make available under them. By creating an account or using the service, you accept these terms.
2. Your account
- You need an account to use the service, and you are responsible for keeping its credentials safe.
- You must give accurate details, in particular the business information the agent will represent to your customers.
- Tell us if your account is compromised. Until you do, activity on your account is yours.
3. What the service does
SimpliServe is an AI agent you configure: it holds customer conversations on channels we make available, answers from the sources you upload, escalates to you when it isn’t confident, and keeps everything in one inbox. The agent is a tool that represents your business under your instructions, and that framing shapes these terms.
4. Your responsibilities
- What your agent says. You choose its sources, tone and guardrails. You are responsible for what it is given and, in turn, for making sure it isn’t asked to mislead anyone.
- Your customers. People who message your business should know they’re talking to an AI agent and that a human takes over when needed. Put that where they can see it on your site.
- Compliance. You must use the service lawfully: no misleading customers, no unlawful content in your sources, no attempts to break the service or scrape it.
- Human oversight. You direct how the agent behaves and recruit a human for what it can’t hold. You remain in charge of the business decisions it is used for.
5. Fees and payment
- Plans are monthly, priced in Nigerian naira, and processed by Paystack.
- Your plan includes a monthly credit allowance; usage against it is shown in your dashboard.
- Your plan renews each month until you cancel or it is ended under these terms.
- Where applicable, Paystack collects any taxes or charges required for the transaction.
- Upgrades. If you move to a larger plan mid-month, you pay the prorated difference today and the larger allowance starts immediately. Your next renewal moves to the new price.
- Failed payments. If a payment fails, Paystack will retry the charge and we will notify you. Access may be paused until payment succeeds.
- Taxes. Prices are shown in naira; where VAT or other charges apply, they are shown at checkout and on your Paystack receipt, consistent with the pricing page.
6. Credits
Credits represent the conversations your agent holds for you. The dashboard shows what you’ve used against your allowance, and you can move to a larger plan at any time.
When your allowance hits zero, the agent stops sending new AI replies and routes new conversations to your inbox under “Needs you”, so no customer is left hanging. Your inbox, dashboard, and history keep working. Just move to a larger plan from the billing page and the agent resumes automatically. Unused credits do not roll over; each month starts fresh.
7. Refunds
Plans are monthly and non-refundable for partial months: when you cancel, your plan runs to the end of the month you have paid for and then ends. Setting up your agent and testing it in the playground before you subscribe costs nothing, so you can see the product work before you pay.
8. AI limitations
- The agent’s answers come from what you give it. It does not guarantee accuracy, and you should not let it present itself as infallible. It is equipped to stop when it isn’t sure instead.
- Escalation and urgency ratings are a judgement, not a contract. A conversation flagged Medium might deserve you now; a High might be solvable with one answer.
- No decision worth real money (credit, hiring, legal, safety) should be made on an agent reply alone.
9. Intellectual property
- The SimpliServe service, website, design and documentation are ours.
- Your sources, business information and conversations are yours. You grant us the rights needed to run the service for you (to host, transmit, process and display them) and nothing more.
10. Privacy
How we handle data is set out in the Privacy Policy. It is part of these terms.
11. Availability
We work to keep the service up, but no service is perfect. Planned maintenance happens with as much notice as practical, and we fix faults as fast as we responsibly can. Where the law gives you warranties we can’t exclude, nothing here takes them away.
12. Limitation of liability
To the maximum extent the law allows: we are not liable for indirect or consequential loss, such as lost revenue, lost data, or damage from an agent reply you or your customers relied on, and our total liability under these terms does not exceed the amount you paid us in the twelve months before the claim. Nothing limits liability that cannot be limited by law.
13. Ending the agreement
- You can stop at any time. Unless the policy says otherwise, your plan ends at the end of the month you’ve paid for.
- We can suspend or end access for material breach, misuse, or risk to the service, and we’ll tell you why unless telling you breaks the law.
- When the agreement ends, the service stops and your data is handled per the Privacy Policy and retention rules.
14. Changes to these terms
If we change these terms in a way that matters, we’ll tell you on this page and, where we have your email, by email before the change takes effect.
15. Governing law
These terms are governed by the laws of the Federal Republic of Nigeria, with disputes subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.
